Schmigbob LLC (Schmigbob) developer and sole distributor of the Beehive Picture Hangers, is happy to welcome new resellers. In order to insure our products are properly promoted and supported, Schmigbob has developed this Authorized Reseller Agreement. Schmigbob reserves the right to amend and modify these Agreements at any time.

RIGHTS AND OBLIGATIONS:

Seller shall have the non-exclusive, non-transferable and revocable right to purchase, sell, market and promote the Products purchased from Distributor, subject to the Terms and Conditions of this Agreement.

INTELLECTUAL PROPERTY:

All intellectual property rights, other than those expressly granted under this Agreement, that relate to the Products shall remain with Distributor.

COMPETITION POLICY:

Distributor is the sole developer and seller of all its Beehive Picture Hangers® Products. Distributor reserves the right to promote, market and sell its Products as it deems necessary.

MANUFACTURERS SUGGESTED RETAIL PRICE (MSRP):

Distributor has established a Manufacturers Suggested Retail Price (MSRP) for selected Products as set forth in the current Beehive Picture Hangers Price Lists and as promoted through the Beehive Picture Hangers website www.beehivepicturehangers.com. This MSRP policy applies to all forms of advertising including, but not limited to, mailings, catalogs, displays at consumer exhibitions and shows, and any and all forms of advertising media, including, but not limited to, the Internet and any other electronic network. Distributor reserves the right to terminate supply of the Products in question to any Seller advertising the Products at a price lower than the listed MSRP. Seller understands the MSRP may be adjusted from time to time, and agrees to adjust their listed prices accordingly. This policy only concerns advertised prices, and does not relate to actual sales price.

SELLER OBLIGATIONS:

Unless otherwise agreed upon in writing, as approved by the Distributor, reseller will be limited to sales of the Beehive Picture Hangers in their immediate place of business as described in their submitted Partner Application Form. Seller acknowledges that the Beehive Picture Hangers may not be sold through the following marketplaces: Amazon.com, eBay.com, Buy.com, Etsy.com, or any online marketplace not affiliated with seller’s immediate business.

TERM AND TERMINATION:

This Agreement shall remain in effect until otherwise terminated by Distributor or Seller. Distributor reserves the right to terminate this Agreement without prior notice if Seller is in violation of the Terms and Conditions as outlined in this contract.

GOVERNING LAW:

The terms of this Agreement shall be governed under the laws of the state of Indiana.
